The joint representative of the bondholders of the Ekosem-Agrar bond 2012/2027 (ISIN: DE000A1R0RZ5) and the Ekosem-Agrar bond 2019/2029 (ISIN: DE000A2YNR08), e.Anleihe GmbH, and SdK Schutzgemeinschaft der Kapitalanleger e.V. (German investor protection association) invite bondholders to the next virtual information event on Thursday, May 23, 2024, at 5:00 pm.
The issuer has invited bondholders to second bondholders' meetings on June 3 resp. 4, at which a reduced quorum of 25% of the respective outstanding bond volume is required. The invitations were published by the issuer on May 7, 2024, in the "Capital Market" section in the Federal Gazette and are also available on the company's website at https://www.ekosem-agrar.de/en/investor-relations/bonds/noteholders-meeting-2012-2027/ and https://www.ekosem-agrar.de/en/investor-relations/bonds/noteholders-meeting-2019-2029/.
"Since our first information event on April 10, 2024, we have held numerous discussions with bondholders in order to obtain a picture of the bondholders’ opinions on the planned bond restructuring and to receive questions and input from bondholders. We have bundled these together with our own information requirements and asked the issuer for feedback and comments," explains Dr. Benjamin Büttner, managing director of e.Anleihe GmbH. "The evaluation of this feedback and comments forms the basis for the information event to which we are inviting investors together with SdK."

As expected, the first bondholders' meetings on May 2, 2024, did not have a quorum, as bondholders were represented with less than 50% of the outstanding bonds.
“Irrespective of how the bondholders will position themselves on the issuer's proposals, the joint representative and SdK once again emphasize the importance of exercising voting rights at the second bondholders' meetings”, comments the co-managing director of e.Anleihe GmbH, Christoph Chardon. "Bondholders can only represent their interests effectively if they actively exercise their rights".
Both e.Anleihe GmbH and the SdK strongly advise to immediately request special verification of current ownership of the bonds and the* blocking notice required for voting *from the respective custodian institutes for the upcoming meetings, if this has not yet already been done. Considering the public holidays and vacation days in May, longer processing times of the custodian banks may have to be expected.
Bondholders who will not be able to attend the bondholders' meetings on June 3 resp. 4, 2024 in Heidelberg and do not wish to be represented by the issuer's proxies may authorize SdK Schutzgemeinschaft der Kapitalanleger e.V., whose board member, attorney Markus Kienle, is a member of the Noteholders' Advisory Committee, to exercise their voting rights free of charge. Properly prepared forms of the proxy form are available on the SdK homepage at https://sdk.org/leistungen/glaeubigervertretung/ekosem-agrar-ag/. This also requires special verification together with a blocking notice from the custodian bank.
